AI Terms of Use for Client Engagements

1. Purpose and Scope

These AI Terms govern Red Door Interactive’s (“RDI”) use of artificial intelligence (“AI”) technologies, tools, and workflows in the delivery of our services. The purpose of these Terms is to ensure responsible, transparent, and effective use of AI that enhances client outcomes while protecting both parties’ interests, intellectual property, and data integrity.
 

2. Use of AI in Service Delivery

RDI may use AI tools and automation to enhance efficiency, quality, creativity, and insight generation across our deliverables. Examples include, but are not limited to:

  • Content ideation, summarization, and optimization
  • Data analysis, audience modeling, and predictive analytics
  • Creative concepting, copywriting, image, or video generation
  • Workflow automation, QA processes, and reporting

RDI applies human review, editing, and approval by qualified RDI professionals to AI-assisted deliverables before delivery, with the intent of ensuring factual soundness, brand alignment, and reasonable compliance with applicable laws and client brand standards. RDI may employ both dedicated AI tools (e.g., OpenAI ChatGPT Enterprise, Microsoft Co-Pilot) and AI-integrated features within approved enterprise platforms (e.g., Meta for Business, Google Ads, Adobe Creative Cloud, or equivalent).
 

3. Data Handling and Confidentiality

  • Client Data Use: RDI may input Client-provided information or data into AI systems as we deem necessary to perform the Services, provided that such systems are configured with “no-data-sharing,” “no-training,” or “enterprise trust” settings (or functionally equivalent controls) to ensure Client data is not used to train, improve, or be made public through any public or third-party models.
  • Internal Models: When handling PII or other sensitive information or data, RDI may use proprietary or internally hosted AI models, prompts, or frameworks to improve efficiency and maintain confidentiality, applying enhanced data protection and access controls consistent with applicable privacy and security standards.
  • Data Minimization: RDI will input only the minimum data necessary to generate relevant and meaningful outputs related to the Services.
 

4. Intellectual Property and Ownership

  • Client Deliverables: Final deliverables accepted by Client under the applicable SOW shall be deemed “work for hire” or otherwise owned by the Client, as defined in the SOW.
  • AI Outputs: AI-generated materials (text, imagery, data, or code) may have inherent limitations on exclusivity or copyright protection under applicable law. RDI will make commercially reasonable efforts to ensure originality and non-infringement but does not warrant legal exclusivity or eligibility for copyright registration. Client acknowledges that AI-generated materials may include elements derived from public data or model training sources outside of RDI’s control. Accordingly, RDI shall not be liable for, and Client shall indemnify and hold harmless RDI from and against, any third-party claims arising from alleged intellectual property infringement related to AI-generated outputs, except to the extent such claim arises from RDI’s knowing or intentional misuse of a third party’s protected material.
  • Human Oversight: All final deliverables are curated and approved by RDI personnel for accuracy, compliance, and brand alignment.
  • RDI Retained Rights: RDI retains ownership of its underlying tools, prompts, workflows, and proprietary frameworks used to generate AI-assisted deliverables, provided that such assets do not contain Client Confidential Information.
 

5. Updates and Versioning

These AI Terms are a living document and may be periodically updated to reflect changes in technology, regulation, or best practices. The most current version of these AI Terms, as published at https://www.reddoor.biz/ai-terms/ will apply to all active and future engagements.
 

6. Limitations of Liability and Disclaimer

RDI will exercise reasonable care and professional judgment in the use of AI tools but acknowledges that AI-assisted outputs are subject to inherent limitations. While RDI strives for accuracy, originality, and brand alignment, it cannot guarantee that AI-generated materials will be entirely error-free or suitable for all client uses. To the fullest extent permitted by law, RDI shall not be liable for any indirect, incidental, or consequential losses arising from:

  • AI system inaccuracies, model bias, or unpredictable behavior;
  • Regulatory or platform policy changes impacting AI outputs;
  • The Client’s own modification or use of AI-assisted deliverables; or
  • Errors or omissions attributable to third-party AI providers. Disclaimer:

Disclaimer:
AI technologies rely on probabilistic models and publicly available data that may not always be comprehensive or current. RDI uses these tools to augment human expertise, not replace it. Clients acknowledge that AI-assisted work carries inherent uncertainties and agree that RDI shall not be held responsible for unintended or secondary effects that arise despite the application of reasonable professional standards.

Limitation of Liability:
All liability related to AI-assisted tools or outputs shall be governed by the limitation of liability provisions set forth in the applicable Master Services Agreement (MSA). In addition, Client shall indemnify and hold harmless RDI from and against any third-party claims arising from alleged intellectual property infringement related to AI-generated outputs, except where such claims result from RDI’s knowing or intentional misuse of a third party’s protected material
 

7. Client Collaboration

RDI encourages Clients to identify any specific data sensitivities, brand voice constraints, regulatory requirements, or tool restrictions at project initiation to ensure deliverables align with Client governance and compliance expectations.
 

8. Dispute Resolution

Any disputes arising from or related to AI-assisted work shall be governed by the dispute resolution procedures outlined in the Master Services Agreement (“MSA”) or other applicable governing contract.
